SB Consulting is a ”full services consultancy” company whose aim is to provide companies with all the services and activities they need in order to optimally manage periods of growth, reorganisation and/or downsizing.

SB Consulting was established in 2012, as the collaborative effort of multidisciplinary professionals with consolidated experience in M&A and in Turnaround, to provide strategic, legal, tax and corporate advice to Italian and foreign companies, and also in order to assist banks in managing all phases of company crisis.

In 2017, the panoply of services provided by SB Consulting was expanded by incorporating Digital Transformation and since 2021 the activity of Cloud Engineering.

Carrying out due diligences on the position of companies and their debt exposure, in order to identify early warning signs and non-performing loans/exposure to the Banks.

Providing support in the negotiation of positions and in defining early warning procedures, covenants and, respectively, their activation and/or infringement.

Economic, financial and legal analysis and feasibility assessment of proposals to resolve company crises (in-court and out-of-court debt restructuring agreements and plans).

Support, drafting and formalisation of in-court and out-of-court restructuring agreements aimed at obtaining the green light, respectively, from the Court and/or from the body of creditors as a whole, or from a portion of the creditors or from certain more important creditors e.g. the Tax Authorities.

Supervision of the proper and prompt implementation of activities covered by restructuring agreements (e.g. ongoing verification of compliance with covenants or the adoption/implementation of agreed corporate transactions and reorganisations) also through the appointment of team professionals inside the governing bodies (administrative and audit) of the affected companies.

Function of linkage and organisation of negotiations which are led by the business owner in crisis and the (pool of) banks exposed to the latter; this is a tricky phase which requires prompt management of all the parties' positions in order to ensure that the lapse of time that occurs does not compromise or render ineffective the pre-insolvency or insolvency mechanism identified.

Management of credit positions in the context of filing a proof of claim in bankruptcy, and inclusion among the indebted company's liabilities.

Assessment and analysis of potential risks and/or legal proceedings against Banks.

Representation of the Bank in insolvency committees and/or in the governing bodies of companies.

Stefano Barbiera

Working first in the Legal and Corporate Affairs Departments of Camuzzi Gazometri and later at Pirelli & C. and Camfin, and finally as General Counsel of the Camuzzi and Sirti Groups, Stefano Barbiera gained significant and lengthy experience managing the principal legal, corporate, institutional and organisational and governance issues relevant to medium and large companies, particularly mergers and acquisitions, joint ventures, development and financing, as well as debt restructuring with related management of company crises in all its corporate forms.

He established SB Consulting in 2012, and began supporting customers in complex corporate reorganisation processes and, in 2013, he was appointed as Chief Restructuring Officer & Executive Vice President of the Camuzzi Group, with responsibility for the project to restructure operations in Italy, Luxembourg, the Netherlands and Argentina, where he moved for a number of years in order to better manage and coordinate this process.

Having successfully carried through the rescue of the entire group, he has acted since 2017 as the Liquidator of the Italian holding company Camuzzi S.p.A. and as President of the Luxembourg company Camuzzi International, as well as Executive Vice President of the Camuzzi group's Argentinian public utilities.

Franco F. Maccabruni

Franco F. Maccabruni

Since 1987, he has been active in the commercial law field (in which he has authored several academic papers), and in litigation and consultancy. He has been involved, also internationally, in the fields of M&A, financing, restructuring, issuance of financial instruments (including those listed on Italian and foreign regulated markets) for the raising of venture capital (also studying forms which were novel at the time, such as step up equity lines).

He later exploited all this experience in the corporate restructuring area, combining his strictly business consulting activities with consultancy in the current management of companies undergoing restructuring, and also participated in the governing bodies of these companies or in committees of creditors as representative.

Thanks to the consolidation of such experience, he (together with his Firm) was selected in the PBV Monitor for Milano Finanza and Class Editori as being among the top 100 in the Corporate-Restructuring field, and was one of the 16 finalists of the Top Legal Industry Awards 2020, in the Crisis and Restructuring sector.

Until 2005 he was the co-managing partner of Studio Tributario Internazionale, a Deloitte network tax office in Italy. He subsequently set up his own professional office by founding MGP Studio Tributario, which currently employs around twenty professionals and is the go-to tax office of the PKF International network.

He acquired his experience primarily as a tax consultant for listed and unlisted companies, specialising in various sectors of industry, finance and in the real estate sector.

Ennio Barbiera

Before entering the consultancy field he acted for over 15 years as the Chief Financial Officer of an international group operating in the industrial sector, a leader in the construction of pneumatic machines for the construction market. During this period he coordinated organisational projects, managing numerous mergers and acquisitions of new affiliates and companies in Italy and internationally.

In 1994 he managed (with the owners) the sale of the Atro group to an American multinational, and then successfully devoted himself to strategic and financial consultancy activities for numerous Italian SMEs.

She has been working for several years to resolve numerous problems associated with "company crises": the definition of insolvency procedures, corporate reorganisation plans, civil and criminal liability of Directors and Auditors.

In her work activities, which included the provision of in-court and out-of-court assistance for individuals and businesses, she has dealt with commercial contracts, procurement contracts and private agreements, corporate relations, medical liability and defending investors against banks and financial institutions.

Carmen Sbarbaro

She has worked for several years in multinational companies such as Stanley Bostich and Philips, with increasingly onerous responsibilities, and subsequently joined SB Consulting when it was founded in 2012. She has played an active role in the restructuring and recovery projects successfully concluded by SB Consulting in Italy and Argentina, providing operational support for due diligence activities and at the contract development phase. She is responsible for the company's administrative and accounting activities and for research, market analysis and digital marketing support. She speaks Spanish and English fluently.
